Recent Highlights

American Water
S&C represented the initial purchasers in the $1.5 billion investment grade Rule 144A/Reg S debt offering by American Water Capital Corp. AWCC’s parent, American Water Works Company, Inc., is the largest investor-owned water and wastewater utility company in the U.S.

CropEnergies AG
S&C acted as German and U.S. counsel to the underwriters on the € 224 million Rule 144A/Reg S equity offering (IPO and Frankfurt listing in Germany) by CropEnergies, a leading European producer of bioethanol.

EDF Energies Nouvelles
S&C acted as French and U.S. counsel to EDF in the € 390.9 million Rule 144A/Reg S equity offering (IPO and Euronext Paris listing in France) of EDF Energies Nouvelles, which specializes in the generation of electricity through wind power. The company also produces electricity starting from hydro power, supplies solar water heaters and solar photovoltaic units and is in the process of developing a number of biomass energy projects.

Hyder PLC
S&C represented Hyder PLC in a number of Rule 144A debt offerings. Based in the UK, Hyder offers environmental consulting on infrastructure and design.

Nordex AG
S&C represented the underwriters in the € 166 million capital increase by Nordex, a German wind turbine company.

Petrotec AG
S&C acted as counsel to the underwriters on the € 107.5 million initial public offering and Frankfurt listing with Rule 144A/Reg S tranches by Petrotec AG . Petrotec is one of the leading German producers of biodiesel made from alternative feedstocks.

Solarfun Power
S&C advised the underwriters of the $150 million SEC-registered initial public offering and Nasdaq listing by China’s Solarfun Power Holdings Co. Solarfun is a global manufacturer of solar energy photovoltaic products.

Suez Environnement
S&C is advising on the pending spin-off of Suez Environnement in connection with the pending Gaz de France-Suez merger.

Sustainable Forestry Management
S&C client Sustainable Forestry Management Limited (“SFM”) and Credit Suisse formed a new special purpose vehicle, SFM Carbon Finance Limited, to provide up to $200 million in carbon backed financing for forestry projects. SFM is a private group of companies formed in 1999 dedicated to realizing value from the ethical and sustainable use of tropical and sub-tropical forests in the developing world, principally through the acquisition and trading of carbon credits and offsets.

Techem
S&C represented Germany’s Techem, an energy solutions and services provider, in its local IPO with a Rule 144A tranche in the U.S.

Vivendi Environnement
S&C represented the underwriters in the $2.3 billion initial public offering with a Rule 144A tranche in the U.S. for Vivendi Environnement.

Washington Water
S&C represented the underwriters in the registered offerings of debt and equity by Washington Water Power Company.

Yingli Green Energy
S&C advised the underwriters to the $366.9 million SEC-registered initial public offering and NYSE listing of Yingli Green Energy Holding Company Limited. The company is a vertically integrated photovoltaic product manufacturer based in China. S&C also advised the underwriters in concurrent offerings of ADS and convertible notes ($372 million aggregate).
